Terms of Service

1. Acceptance of terms

By creating an account or using the ioVertex website, dashboard, or mobile app (together, the "Service"), you agree to these Terms of Service.

2. Description of service

ioVertex provides real-time monitoring, alerting, and historical analytics for connected devices, currently focused on battery/BMS monitoring, delivered via a web dashboard and Android app.

3. Accounts

You're responsible for keeping your account credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorized access.

4. Acceptable use

  • No attempting to bypass device authentication or access another customer's devices or data
  • No reverse-engineering, scraping, or overloading the Service beyond normal use
  • No using the Service for any unlawful purpose

5. Subscriptions & billing

ioVertex is offered on the Basic, Standard, Pro, and Enterprise plans described in your plan agreement, billed monthly. You can cancel at any time; cancellation takes effect at the end of your current billing period, and we don't offer partial-period refunds unless required by law.

6. Service availability

We work to keep the Service available and accurate, but we don't currently offer a guaranteed uptime SLA. The Service is provided "as is," without warranties of any kind, to the extent permitted by law.

7. Limitation of liability

To the extent permitted by law, ioVertex is not liable for indirect, incidental, or consequential damages arising from use of the Service. This section in particular needs legal review — liability limitations are jurisdiction-dependent and carry real enforceability risk if drafted incorrectly, especially for a platform involved in monitoring safety-relevant equipment.

8. Data ownership

You own the telemetry and account data you generate through the Service. We process it to provide the Service, as described in our Privacy Policy.

9. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these terms or applicable law.

10. Governing law

These terms are governed by the laws of [JURISDICTION — fill in once the company's place of incorporation/registration is finalized], without regard to conflict-of-law principles.

11. Changes to these terms

We'll update the date at the top of this page when these terms change, and post material changes here before they take effect.
